These Terms of Service (“Terms”) are an agreement between you and OÜ Asius, registry code 16157235, Turu tn 34b, 51004 Tartu, Estonia (“Asius”, “we”, “us”). They govern your access to and use of Asius hardware, mobile and web apps, websites, hosted services, support, and related software we provide (the “Services”). By using the Services, you agree to these Terms and our Privacy Policy. Mandatory consumer rights in your country continue to apply and are not limited by these Terms.
Asius is a driver-assistance device, not an autonomous-driving system.
You must remain attentive, supervise the vehicle at all times, and be ready to take immediate control. Misuse can cause property damage, injury, or death.
1. Eligibility and responsibility
You may use driving features only if you are a licensed driver, are legally permitted to operate the vehicle, and can enter into these Terms. You are responsible for anyone who uses the Services through your device, app installation, vehicle, or authorized keys. Do not configure or interact with the Services while driving unless it is safe and lawful to do so.
2. Safety, compatibility, and installation
- Obey all traffic, vehicle, insurance, inspection, mobile-device, and windshield-mounting laws that apply where you drive.
- Use the device only with compatible vehicles, harnesses, software, and installation methods. Compatibility can change after vehicle or software updates.
- Keep your attention on the road and your hands ready to steer. Never rely on the device to detect every object, event, road condition, or driver state.
- Immediately stop using driving features if the device, vehicle, installation, or software behaves unexpectedly.
- Do not use the Services in a way that disables factory safety systems, circumvents driver monitoring, or violates applicable law.
You are responsible for confirming that installation and use do not obstruct visibility, interfere with airbags or controls, damage the vehicle, or breach lease, warranty, inspection, or insurance requirements. Ask the relevant manufacturer, lessor, insurer, or authority when unsure.
3. Software and third-party projects
Asius hardware is designed to be compatible with openpilot and may support other open-source or third-party software. Those projects are governed by their own licenses and terms. References to compatibility do not imply sponsorship or endorsement by the relevant project or vehicle manufacturer. Asius is not responsible for modifications, forks, unsupported software, or changes you make, except to the extent liability cannot lawfully be excluded.
Subject to these Terms and any applicable open-source licenses, Asius grants you a limited, non-exclusive, non-transferable, revocable license to use our proprietary app and service software for your personal or internal business use with the Services. You may not resell service access, bypass security or usage controls, extract private keys from another user, interfere with infrastructure, or use the Services to violate another person’s rights.
4. Device and app access
Device and app access is controlled through cryptographic keys rather than a conventional password account. Your device is the final authority for write access. You are responsible for pairing only trusted app installations, removing access you no longer want, and protecting devices and recovery material. We may be unable to restore access when all authorized keys are lost.
5. Your data and encrypted storage
As between you and Asius, you retain your rights in content you upload. You grant us the limited rights needed to host, copy, transmit, secure, and otherwise process encrypted content to provide the Services. Hosted files are end-to-end encrypted by default, and Asius does not hold the decryption keys unless you deliberately enable Share with Asius or separately provide readable content to us.
You represent that you have the rights and permissions needed to collect and share content from your vehicle, including information about passengers, other drivers, faces, voices, license plates, locations, and routes. You must provide notices or obtain consent where the law requires it.
6. Optional Share with Asius license
If you enable Share with Asius, you grant Asius and its affiliates, contractors, successors, and collaborators a worldwide, non-exclusive, sublicensable, transferable, royalty-free license to host, decrypt, reproduce, modify, annotate, combine, analyze, create derivative works from, distribute, display, and otherwise use the data shared through that setting for support, safety, research, analytics, product development, and the development, training, testing, evaluation, and commercialization of machine-learning models and other products or services, and for other lawful purposes consistent with those activities.
The license continues for copies already shared and work already produced, to the extent permitted by law. Turning the setting off stops new sharing but may not remove information incorporated into aggregated results, research, derived datasets, or trained model parameters. Our Privacy Policy explains your legal rights and how to request deletion or object to processing.
7. Updates, connectivity, and availability
The Services may download or install security, firmware, compatibility, and feature updates. Some functions require Bluetooth, internet access, third-party infrastructure, or a compatible phone or vehicle. We may change, suspend, or discontinue features for safety, security, legal, or operational reasons. We do not guarantee uninterrupted service, permanent storage, or compatibility with every future vehicle or software version.
8. Purchases, returns, and support
Prices, taxes, shipping estimates, and product details shown at checkout form part of your order. Our 30-day Return Policy applies to eligible direct purchases and does not reduce statutory withdrawal, conformity, warranty, or remedy rights. We may refuse or cancel orders for fraud, pricing errors, export restrictions, lack of stock, or other lawful reasons and will refund amounts charged for a cancelled order.
Support is available through asius.ai/support. Diagnostic help may require information from a reproducible event. We will not be able to decrypt your hosted files unless you share the relevant data with us.
9. Intellectual property and feedback
Asius and its licensors retain all rights in our branding, product designs, documentation, websites, and proprietary software. Open-source components remain governed by their licenses. If you voluntarily submit product feedback, you allow us to use it without restriction or compensation, without identifying you unless you agree otherwise.
10. Disclaimers
To the maximum extent permitted by law, the Services are provided “as is” and “as available.” We do not promise that driver assistance will be error-free, detect every hazard, or work in every road, weather, traffic, vehicle, network, or lighting condition. We disclaim implied warranties to the extent they may lawfully be disclaimed. This paragraph does not exclude mandatory consumer guarantees or liability that cannot be excluded under applicable law.
11. Limitation of liability
To the maximum extent permitted by law, Asius is not liable for indirect, incidental, special, punitive, or consequential loss, or for lost profits, business, goodwill, or data, arising from the Services. For claims that may lawfully be limited, our aggregate liability will not exceed the greater of the amount you paid Asius for the affected product or service during the preceding 12 months or €100. These limits do not apply to fraud, intentional misconduct, death or personal injury caused by negligence, product liability that cannot be limited, or mandatory consumer rights.
12. Suspension and termination
You may stop using the Services at any time. We may suspend access when reasonably necessary to address security threats, abuse, legal requirements, unpaid amounts, or material breaches of these Terms. Provisions that by their nature should continue—including licenses for previously shared data, intellectual property, disclaimers, liability limits, and dispute terms—survive termination.
13. Governing law and disputes
These Terms are governed by Estonian law, excluding conflict-of-law rules. If you are a consumer, you also retain mandatory protections and may bring a claim in the courts available under the law of your residence. Before filing a claim, please contact us so we can try to resolve it. EU consumers may also contact their national consumer-protection body or use other legally available dispute-resolution channels.
14. Changes and contact
We may update these Terms. For material changes, we will provide reasonable advance notice through the Services, website, or contact information available to us where required. Continued use after the effective date means you accept the updated Terms; if you do not agree, stop using the Services.
